Vakansiyanın təsviri
- Draft and review a wide range of legal documents within the framework of assigned projects and by applicable laws, including but not limited to:
- commercial contracts
- Non-disclosure agreements (NDAs)
- Partnership and service agreements
- Memorandums of understanding (MoUs)
- Side agreements, declarations, and shareholders agreements, etc.
- Identify legal risks in contracts and propose effective mitigation strategies. Take proactive legal measures related to project contracts, including preparing required documentation.
- Participate in reviewing legal documents related to implemented agreements under various projects, including associated contracts. Assist in the preparation of legal assessments and recommendations. Provide legal opinions and support as required.
- Prepare legal notes, memoranda, and other relevant documentation in the framework of assigned projects. Provide legal support as needed to ensure compliance and mitigate legal risks.
- Review and respond to legal inquiries, applications, requests, and proposals whether internally initiated or received from government authorities, institutions, or third parties. Conduct legal investigations and prepare responses in accordance with applicable legislation. Take any necessary legal action to address the matters raised.
- Ensure that all legal documents, including contracts, receive the required internal approvals, endorsements, and consents from authorized personnel before execution.
- Handle legal correspondence and matters arising from the execution of contracts with foreign counterparties.
- Participate in drafting opinions, official communications, and other relevant documentation.
- Actively participate in internal committees, commissions, working groups, training sessions, meetings, business trips, and other relevant activities as required by company directives.
- Perform other legal tasks and responsibilities as assigned by the Legal Manager.
Xüsusi tələblər
- Minimum 3 years’ experience required as the legal advisor:
- Experience in the field of Legal in the Oil and Gas industry is an advantage;
- Strong knowledge of civil law, international commercial arbitration law, international private law, law, company law, international commercial and contract law;
- Good understanding of contracts and agreement structures, government regulations and compliance, intellectual property rights and patents etc.;
- Advanced written and verbal communication skills in English (C2 level) and Azerbaijani.
