This is a full-time, on-site role based in Baku City for the Head of Corporate Governance Division. The role involves leading the design, implementation, and continuous improvement of SOCAR’s corporate governance framework, policies, and procedures in line with national legislation and international best practices. The Head of Corporate Governance Division will oversee the development and enforcement of governance standards for the Board, committees, and management, ensuring clarity of roles, responsibilities, and decision-making processes. Day-to-day responsibilities include advising senior leadership on governance and legal implications of strategic initiatives, coordinating the preparation of governance documentation, and ensuring compliance with internal regulations and applicable laws. The role also encompasses managing governance-related risk assessments, overseeing corporate reporting requirements, and collaborating with internal and external stakeholders, including regulators and external counsel. The position requires leading and mentoring a multidisciplinary team, setting priorities, and monitoring performance to maintain high governance standards across the organization.

• Strong background in Law and Corporate Governance, with demonstrated experience in designing and managing governance frameworks in large or complex organizations.
• Proficiency in providing Legal Advice on corporate, regulatory, and compliance matters, including interpretation of relevant legislation, internal regulations, and international best practices.
• Knowledge of Intellectual Property and Patent Law sufficient to identify, protect, and manage SOCAR’s intangible assets in collaboration with specialized legal experts.
• Advanced leadership, people management, and stakeholder engagement skills, with the ability to collaborate effectively with Board members, executives, regulators, and cross-functional teams.
• Excellent analytical, drafting, and communication skills in a professional legal or corporate setting, including the ability to prepare policies, reports, and presentations with clarity and precision.
• University degree in Law or a closely related field; postgraduate qualification, professional certification (e.g., in corporate governance or compliance), or international legal experience is an advantage.
• Proven experience in a senior governance, legal, or compliance role within the energy sector, a large state-owned enterprise, or a regulated industry is highly desirable.
• High ethical standards, sound judgment, and the ability to handle confidential information with integrity.
